關(guān)于發(fā)布實(shí)施《中國結(jié)算協(xié)助托管銀行凍結(jié)、解凍、劃轉(zhuǎn)、劃回違約客戶證券的業(yè)務(wù)流程》的通知

各托管銀行：
為協(xié)助托管銀行落實(shí)對多邊凈額結(jié)算業(yè)務(wù)的最終交收責(zé)任，明確我公司協(xié)助托管銀行進(jìn)行客戶交收違約處理的業(yè)務(wù)辦理流程，我公司制定了《中國結(jié)算協(xié)助托管銀行凍結(jié)、解凍、劃轉(zhuǎn)、劃回違約客戶證券的業(yè)務(wù)流程》（見附件），現(xiàn)發(fā)布實(shí)施。具體操作事宜根據(jù)我公司滬、深分公司相關(guān)業(yè)務(wù)指南辦理。
特此通知。

中國結(jié)算協(xié)助托管銀行凍結(jié)、解凍、劃轉(zhuǎn)、劃回違約客戶證券的業(yè)務(wù)流程
第一條為規(guī)范中國證券登記結(jié)算有限責(zé)任公司（以下簡稱“本公司”）協(xié)助托管銀行進(jìn)行客戶交收違約處理的業(yè)務(wù)辦理，落實(shí)本公司與托管銀行之間的結(jié)算協(xié)議相關(guān)規(guī)定，制定本業(yè)務(wù)流程。
第二條本公司滬、深分公司根據(jù)本業(yè)務(wù)流程制定相關(guān)業(yè)務(wù)指南，協(xié)助托管銀行辦理凍結(jié)和解凍違約客戶證券、劃轉(zhuǎn)和劃回違約客戶的質(zhì)押式回購質(zhì)押券的具體事宜。
第三條可用于凍結(jié)的客戶證券應(yīng)是違約客戶證券賬戶內(nèi)的在滬、深證券交易所上市且權(quán)利未受限制的證券。
第四條托管銀行的客戶未能按照約定時(shí)點(diǎn)向托管銀行交付交收資金的，托管銀行在征求客戶意見后，可于任一交易日規(guī)定時(shí)點(diǎn)前向本公司申報(bào)凍結(jié)違約客戶的證券，并按規(guī)定提交申請材料。

All custodian Banks,
In order to assist custodian banks in performing their ultimate settlement responsibilities in multilateral netting settlement business and to specify the business process for the Company to assist custodian banks in settling default penalties imposed on clients, the Company has formulated and promulgated the Business Process for SD&C to Assist Custodian Banks in Freezing, Unfreezing, Transferring and Transferring Back Securities of Default Clients (refer to the Annex). The specific operation shall be subject to relevant business guidance set out by the Company’s branches in Shanghai and Shenzhen.
It is hereby noticed.

Business Process for SD&C to Assist Custodian Banks in Freezing, Unfreezing, Transferring and Transferring Back Securities of Default Clients
Article 1 The Business Process is formulated for purposes of regulating the business process for China Securities Depository and Clearing Corporation Limited (hereinafter referred to as the “Company”) to assist custodian banks in settling default penalties imposed on clients and implementing relevant provisions of the settlement agreement between the Company and custodian banks.
Article 2 The Company’s branches in Shanghai and Shenzhen will assist custodian banks in dealing with specific matters concerning freezing and unfreezing securities of default clients, transferring and transferring back pledge-style repo bonds of default clients.
Article 3 Only unrestricted securities in securities accounts of default clients that are listed in Shanghai or Shenzhen stock exchange can be frozen.
Article 4 If any client of certain custodian bank fails to pay the custodian bank settlement funds within prescribed time limit, after seeking for opinions of the client, the custodian bank may apply for freezing the securities of the default client to the Company before the prescribed time limit in any trading day and shall submit application materials as stipulated.
